In a strategic move to enhance its global manufacturing and supply chain capabilities, MISUMI Group Inc., a leading global supplier of mechanical components, has announced the acquisition of Fictiv, a prominent player in the supply chain technology sector.

Fictiv, based at www.fictiv.com, has made a significant impact in the industry by delivering over 35 million commercial and prototype parts for various industries, including aerospace, robotics, clean energy, consumer, and automotive.

The acquisition, an all-cash transaction with a total consideration of $350 million, subject to closing adjustments, aims to accelerate the emergence of manufacturing and supply chain solutions that leverage the power of AI.

The deal is subject to customary closing conditions, including regulatory approvals.

J.P. Morgan served as exclusive financial advisor, and Morrison & Foerster LLP served as legal counsel to Fictiv.

Ryusei Ono, Representative Director and President of MISUMI Group Inc., stated that the acquisition will amplify their customers' 'Time Value'. He believes this will be achieved by offering faster, more flexible access to high-quality manufacturing across multiple global locations.

Fictiv's integration into MISUMI will support industries like medical devices, automotive, and consumer electronics by enabling seamless transitions from prototyping to full-scale manufacturing. This, in turn, is expected to drive innovation and profitable growth for MISUMI.

Despite near-term financial impacts and a cautious outlook following the acquisition, the move aims to position MISUMI as a stronger global player in supply chain and manufacturing technology solutions.

Fictiv operates four global manufacturing centers in India, Mexico, China, and the U.S., allowing companies to access high-quality production and optimize supply chain logistics.
